Agreement to Terms By accessing or using the website located at kawiagency.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site. These Terms apply to all visitors, users, and anyone who accesses or submits information through the Site. The KAWI Agency is the public-facing brand name of VRDD LLC, a limited liability company registered in the State of California. References to “The KAWI Agency,” “KAWI,” “we,” “us,” or “our” throughout these Terms refer to VRDD LLC.

Services

The KAWI Agency provides brand strategy, UX design, AI consulting, creative direction, and related professional services. Information presented on this Site describes the general nature of available services and does not constitute a binding offer, guarantee of availability, or commitment to engage.

All client engagements are governed by separate written agreements executed between VRDD LLC and the client. Nothing on this Site creates a professional relationship or obligation absent a signed engagement agreement.

Intellectual Property

1. Site Content. All content on this Site — including but not limited to text, copy, frameworks, methodology descriptions, case studies, graphics, logos, and design elements — is the property of VRDD LLC or its content licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

2. Proprietary Methodologies. The Digital Revenue Readiness Assessment (DRRA), the AI Adoption Readiness Assessment (AARA), and all associated frameworks, phase architectures, and deliverable structures described on this Site are proprietary methodologies of VRDD LLC. Reproduction, distribution, adaptation, or use of these methodologies — in whole or in part — without the prior written consent of VRDD LLC is strictly prohibited.

3. Permitted Use. You may view and access Site content for personal, non-commercial informational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without express written permission from VRDD LLC.

4. Portfolio and Case Study Content. Case studies and portfolio references on this Site represent work completed by Gorrasit Vongfak and VRDD LLC. Client names and project details are referenced with permission or in accordance with applicable confidentiality terms. Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless VRDD LLC, its principals, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

Governing Law and Dispute Resolution

1. Governing Law. These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

2. Informal Resolution. Before initiating any formal dispute process, the parties agree to attempt to resolve any dispute informally by contacting The KAWI Agency. The parties will negotiate in good faith for a period of thirty (30) days from the date of notice before proceeding to mediation or litigation.

3. Mediation. If informal resolution fails, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed mediator in Los Angeles County, California, before initiating litigation. Each party shall bear its own costs of mediation, and mediator fees shall be split equally.

4. Litigation. If mediation does not resolve the dispute, any legal action shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to personal jurisdiction in those courts.

Changes to These Terms

VRDD LLC reserves the right to modify these Terms at any time. The “Last updated” date at the top of this page reflects the most recent revision. For minor, non-material changes (such as corrections, clarifications, or formatting updates), continued use of the Site following posting constitutes acceptance of the revised Terms. For material changes — including changes that expand VRDD LLC’s rights, limit your rights, or affect the core terms of use — VRDD LLC will provide reasonable advance notice where practicable (such as by updating the “Last updated” date and posting a notice on the Site). If you have previously submitted contact information through the Site and we have a current means of reaching you, we will endeavor to provide direct notice of material changes. Continued use of the Site following the effective date of a material change constitutes your acceptance of the revised Terms. If you do not agree to any revision, your sole remedy is to discontinue use of the Site.

Force Majeure

VRDD LLC shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government action, war, terrorism, civil unrest, fire, flood, power outages, internet or telecommunications failures, or third-party platform outages (including hosting or infrastructure providers). VRDD LLC will use commercially reasonable efforts to resume normal operation as soon as practicable.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy available at The KAWI Agency, constitute the entire agreement between you and VRDD LLC with respect to your use of this Site and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the same subject matter. Nothing in these Terms affects the terms of any separate signed engagement agreement between you and VRDD LLC.
